Vendor - Terms & Conditions (T&Cs)

These Terms apply to all sellers (“you”, “Vendor”) listing or selling products through The Fair Grocer platform operated by Fairbite Ltd, registered company 14371363 in England & Wales. By registering as a Vendor, you agree to these Terms.

1. Role of The Fair Grocer

The Fair Grocer operates as a marketplace, connecting Vendors with Buyers. We are not your employee, partner, agent, or distributor unless otherwise agreed in writing.

You remain the legal owner and supplier of your products at all times.

2. Vendor Eligibility

To sell on The Fair Grocer, you confirm that:

  • You are legally registered (self-employed, company, or cooperative).
  • You comply with UK trading, tax, and food safety regulations.
  • You hold all necessary licenses, registrations, and insurances.
  • Your products meet UK safety standards and labelling requirements.

3. Product Responsibilities

You are responsible for:

  • Ensuring product quality, safety, and legality.
  • Accurate descriptions, pricing, and images.
  • Correct packaging, expiry dates, and traceability.
  • Compliance with allergen and ingredient labelling laws (including Natasha’s Law and other UK regulations).
  • Delivery of products, where applicable.
  • Import and export Compliance, certifications, and country-of-origin documentation (For cross-border sales)

False or misleading information may result in immediate suspension.

4. Pricing & Commission

You are free to set your own prices in agreement with The Fair Grocer.

The Fair Grocer may charge:

  • Commission / Service Fee – depends on the product category and any additional services provided by Fairbite Ltd and its partners. Fees will be clearly stated on your dashboard for each product. Standard rates:
    • 20% standard
    • 15% for fresh produce (fruit, vegetables, milk, eggs)
    • 25% for custom offers or luxury products (including high-end items such as super-alcohol, cashmere, gold)

Each order is charged once at the applicable percentage rate; that fee is then split 50/50 with the Buyer. This means you will only be charged for half of it. 

  • Optional marketing / premium placement fees – by agreement only.

All fees are clearly communicated before product listing activation.

5. Payments to Vendors

  • Payments are made once funds have been settled by Stripe and received in our bank account.

  • Funds typically settle within 3–7 working days after the order is completed and delivered; payouts are processed on the next available weekly payout.

  • Vendors mark orders as completed in their vendor account once products are shipped.

  • Payments may be withheld in case of customer disputes or delivery issues.

  • Alternative payment arrangements (e.g., upfront or partial payments) may be agreed on request.

  • Payments are via bank transfer to the account you provide.

  • Vendors remain responsible for all tax and accounting obligations.

6. Use of Your Brand & Content

By joining the platform, you grant The Fair Grocer a non-exclusive, royalty-free licence to use your:

  • Brand name
  • Logo
  • Product images
  • Descriptions
  • Story and mission

…for marketing and selling your products on our website, social media, newsletters, and other platforms where The Fair Grocer and Fairbite Ltd are mentioned.

You also agree that your content may be displayed alongside other vendors and producers for promotional and co-branding purposes.

Specifically, the “Proudly Rooted” brand may be used to promote and sell your products under this co-branding initiative, with or without original packaging.

You may withdraw permission in writing with 30 days’ notice by emailing hello@thefairgrocer.co.uk, subject to acknowledgment of receipt.

7. Code of Conduct

You agree to:

  • Act ethically and honestly.
  • Respect the values and mission of The Fair Grocer (see ‘About Us’).
  • Not discriminate or engage in abusive behaviour.
  • Communicate professionally with Buyers and The Fair Grocer team.

Violations may result in immediate removal from the platform.

8. Stock & Fulfilment

You must:

  • Keep stock information accurate on the platform.
  • Inform us immediately of shortages or changes.
  • Deliver products within agreed timeframes.

Repeated failures may lead to penalty fees to cover refunds or substitutions, and may result in suspension.

Refunds & Issue Resolution

Vendors are responsible for product quality. If a Buyer reports an issue, The Fair Grocer will help collect evidence, notify the Vendor, and assist in arranging replacements or substitutions to resolve the problem without financial loss where possible.

9. Termination

Either party may terminate this agreement with 30 days’ written notice.

We reserve the right to suspend or terminate immediately if:

  • Illegal activity is suspected.
  • Standards or T&Cs are breached.
  • Complaints exceed acceptable levels.

10. Limitation of Liability

You agree to indemnify and hold harmless The Fair Grocer against any claim arising from:

  • Product defect or contamination.
  • Legal non-compliance.
  • Misrepresentation of products or services.

11. Data Protection

Both parties agree to comply with UK GDPR.

Data shared through the platform must not be used for purposes outside order fulfilment without consent.

12. Governing Law

These Terms are governed by the laws of England and Wales.

Signed acceptance is required prior to account activation.
